ONEUSD Terms of Use

Effective Date: July 9, 2026

Service Operator: CROSS Technologies Ltd., incorporated in the British Virgin Islands

These Terms of Use ("Terms") govern your access to and use of the ONEUSD service ("ONEUSD Service" or "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Introduction

ONEUSD is a value-referenced supported by a diversified reserve that may be held on-chain and/or with third-party platforms. The ONEUSD Service provides a decentralized and non-custodial interface allowing users to:

  • convert USDT into ONEUSD using on-chain swap mechanisms;
  • hold and transfer ONEUSD in their self-custodial wallets;
  • interact with smart contracts that may allocate protocol-based rewards derived from delta-neutral or market-neutral funding-fee strategies;
  • view reserve and system metrics (sourced from on-chain data and/or third-party platforms)

CROSS Technologies does not custody user assets, private keys, or recovery phrases and cannot reverse or modify blockchain transactions.

2. Key Features and Functional Overview

2.1 USDT → ONEUSD Conversion

Users may acquire ONEUSD by converting USDT through decentralized swap protocols integrated in the interface. The UI may display estimated routing, slippage, price impact, gas fees, and expected execution time. These values are informational only and may differ from actual results.

2.2 Reserve-Referenced Structure

ONEUSD is supported by a reserve held on-chain and/or with third-party platforms, that may include BTC, ETH, USDT, USDC, exchange-issued yield products, or other approved assets

Displayed metrics—such as collateralization ratio, backing notional, reserve fund, system trends, and supply charts—are sourced from blockchain or oracle data, which may fluctuate, be delayed, or be incomplete.

2.3 Delta-Neutral Funding-Fee Strategies

A portion of the reserve may be allocated into delta-neutral or market-neutral funding-fee strategies intended to seek funding-rate returns with neutral market exposure.

These strategies are automated and rule-based; their performance is not guaranteed and may result in losses.

2.4 Protocol-Based Reward Allocation

ONEUSD holders may receive distributions in ONE tokens, allocated according to predefined smart contract rules.

UI indicators such as "Last Day Reward Rate," "7D Avg Reward Rate," or reward graphs display historical reference data only and do not constitute guaranteed future outcomes.

Rewards must be claimed through on-chain transactions and may incur gas fees.

2.5 No Lock-Up

ONEUSD does not require staking or lock-up. Users retain full control over their assets and may transfer or hold them freely.

2.6 Reserve Transparency

Reserve assets held on-chain may be viewable through ONE Explorer or third-party blockchain explorers. A portion of the reserve is held off-chain with third-party platforms (including centralized exchanges); such holdings are reported by those platforms via their APIs. Displayed data may be delayed, incomplete, or not synchronized with the blockchain. CROSS Technologies does not independently audit, verify, or guarantee the accuracy of data reported by third-party platforms.

2.7 Token Activity & History

Transfers and activity history displayed in the UI reflect node or explorer responses. These may not reflect final blockchain state until confirmed.

3. Nature of the Service

CROSS Technologies:

  • does not hold or manage user funds;
  • does not control private keys or recovery phrases;
  • does not provide financial, investment, legal, brokerage, or custodial services;
  • does not guarantee liquidity, price, or redemption;
  • does not ensure reward continuity, reserve sufficiency, or system stability.

Users are solely responsible for their wallet security, transaction decisions, and compliance with local laws.

4. Reserve, Collateralization & System Metrics

Metrics displayed in the interface—such as collateralization ratio (e.g., "150%"), backing notional, reserve fund amounts, and reserve composition are based on on-chain data, oracle data, and/or data reported by third-party platforms (including centralized exchanges).

These metrics:

  • can fluctuate rapidly;
  • may be outdated or inaccurate;
  • do not represent guaranteed solvency or redemption value;
  • do not commit CROSS Technologies to maintain any particular reserve level;
  • do not create any claim or right for holders over the reserve.

The Reserve Fund displayed in the UI serves as a protocol buffer but is not insurance, guarantee, or a protection mechanism and may be insufficient during adverse market conditions. CROSS Technologies does not warrant the completeness, accuracy, or availability of any third-party reported data.

5. Reward Mechanisms & Limitations

Protocol-based rewards may originate from delta-neutral funding-rate strategies or other neutral strategies integrated into the protocol.

Users acknowledge that:

  • rewards are not guaranteed;
  • historical metrics do not predict future performance;
  • rewards may fluctuate or cease;
  • claiming rewards requires gas fees and may fail;
  • CROSS Technologies does not guarantee any reward rate, payout size, or reward continuation.

6. Swap Execution & Transaction Risks

Executing USDT → ONEUSD conversions carries inherent risks, including:

  • slippage or unexpected price impact;
  • MEV extraction or front-running;
  • execution failure or delay;
  • increased gas fees or non-refundable costs;
  • insufficient liquidity in decentralized markets.

Users must verify all parameters before signing. CROSS Technologies is not responsible for any losses arising from swap execution.

7. Third-Party Dependencies

The Service may rely on or integrate with:

  • decentralized exchanges (DEX);
  • on-chain liquidity pools;
  • oracle providers;
  • RPC nodes and blockchain explorers;
  • routing protocols.

CROSS Technologies does not guarantee their accuracy, security, availability, or performance.

Users bear all risks arising from third-party systems.

8. Eligibility & User Responsibilities

Users represent that they:

  • are of legal age and capacity;
  • are not restricted under applicable sanctions or laws;
  • will not engage in illegal or fraudulent activities;
  • are solely responsible for securing their wallet, private keys, and recovery phrase;
  • understand that all blockchain transactions are final and irreversible.

9. Smart Contract, Network & Operational Risks

Users acknowledge the risks inherent in decentralized systems, including:

  • smart contract bugs, vulnerabilities, or exploits;
  • oracle malfunction, delay, or manipulation;
  • blockchain congestion, forks, or reorganization;
  • RPC failures or explorer desynchronization;
  • unexpected behavior of neutral strategies;
  • permanent loss of digital assets due to user error or protocol behavior.

CROSS Technologies does not guarantee the reliability, security, or performance of any blockchain network or smart contract.

10. Modification & Emergency Actions

CROSS Technologies may modify, suspend, restrict, or discontinue the Service or specific features without notice in response to:

  • network instability;
  • oracle errors;
  • reserve mechanism deviations;
  • legal or regulatory obligations;
  • protocol-level risk events.

Access to the Service may be limited during such periods.

11. Limitation of Liability

To the maximum extent permitted by law, CROSS Technologies shall not be liable for:

  • loss of private keys or digital assets;
  • incorrect or delayed UI display of metrics;
  • failed transactions or gas costs;
  • losses arising from reserve volatility or strategy performance;
  • reliance on reward rate indicators or system graphs;
  • indirect, consequential, special, punitive, or exemplary damages.

CROSS Technologies' total liability shall not exceed the fees paid by the user in the preceding three (3) months (or zero if none).

12. Intellectual Property

All trademarks, branding, code, UI elements, text, and design associated with the Service are the property of CROSS Technologies or its licensors.

Unauthorized reproduction or modification is prohibited.

13. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the British Virgin Islands (BVI).

Any dispute shall be subject exclusively to the courts of the BVI.

15. Jurisdictional Restrictions (U.S. / EU / EEA)

  1. The Service is not offered or made available to any person located in or accessing from:
    • the United States of America (including its territories), or
    • any European Union (EU) or European Economic Area (EEA) member state.
  2. IP-based blocking may be used, but users remain responsible for compliance.
  3. Users must not use VPNs, proxies, or other methods to bypass regional restrictions.
  4. By using the Service, users represent that they are not located in a restricted jurisdiction.
  5. CROSS Technologies may block access or terminate usage if it determines that a user is associated with a restricted region.
  6. Nothing herein constitutes an offer, solicitation, or marketing of ONEUSD in the United States or EU/EEA.

16. Non-Security Status Disclaimer

  1. ONEUSD is not a security, investment contract, financial instrument, deposit, collective investment scheme, or regulated product.
  2. Holding ONEUSD does not confer equity, ownership, voting rights, profit share, or claims on the Company or reserve.
  3. All mechanisms, including reserve management and reward allocations, may involve automated on-chain rules, off-chain operational processes, and third-party platform integrations.
  4. ONEUSD holders should not expect profits from the efforts of CROSS Technologies or any third party.
  5. The Service does not provide investment advice or constitute financial promotion.
  6. Users are responsible for determining whether ONEUSD use complies with applicable laws.

17. Non-Stablecoin Classification & No Value Guarantee

  1. ONEUSD is not a stablecoin, e-money token, asset-referenced token, or any stable-value financial instrument.
  2. No guarantee is made that ONEUSD will maintain equivalence to USD, USDT, or any reference value.
  3. CROSS Technologies does not provide redemption, buyback, or value stabilization.
  4. Reserve data does not represent a guarantee of solvency or liquidity.
  5. Liquidity availability for conversions is not guaranteed and may vary significantly.

18. General Disclaimers

  1. The Service does not constitute financial, legal, or investment advice.
  2. All information is provided "as is" without warranties.
  3. CROSS Technologies is not responsible for market, network, or smart contract conditions.
  4. Forward-looking displays are illustrative and not predictive.
  5. Users bear all responsibility for private key management and wallet security.
  6. Displayed data may be inaccurate or delayed; CROSS Technologies does not guarantee its correctness.

By using the ONEUSD Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
